The Registered Agent (sometimes called a resident agent, statutory agent, or agent for service of process) is the individual or company appointed to receive state correspondence on behalf of the company.
Every state requires your company to have a Registered Agent listed on their application, otherwise, the filing will be rejected.
In order to keep a company in compliance with state regulations, a company must always have a registered agent appointed while the company is active, it is not just an initial request.
Requirements from the state
Every state requires a physical address listed as the Registered Agent's address.
The registered agent's address must be located in the same state where the company will be doing business.
The address cannot be a PO box or any kind of delivery center address since the state needs a person available at the location during weekdays from 9:00 a.m. to 6 p.m.
The registered agent can be an individual or a company. Any individual can be your company's registered agent, you can even be your own registered agent if you choose to, but only certified companies can be registered agents.
Bizee's Registered Agent Service
We offer a Registered Agent address, which covers official state correspondence only - this includes mail sent directly from the state or service of process (in the event your company gets sued).
You can use the agent for free the first year when opening the business through us, followed by yearly renewals of $119. It is a subscription-based service, meaning that it will automatically renew every year.
Note:
* The Registered Agent is not a personal filer, a secretary, or a consultant. It is only us leasing you our address and service to receive legal and state notifications.
* You are not permitted to use this address for personal mail forwarding, as the company's address, or as a member's address.
Changing your Registered Agent
If you wish to select a different Registered Agent for your company, this can be done by filing a Change of Agent with your state of formation.
This will allow you to make any kind of update to the Registered Agent's information regarding your company, including address, name, and point of contact.

- Due to the fact that the Registered Agent's information is a special requirement and is where you will be receiving the most sensitive information about your company, Bizee cannot change this information using an Annual Report.

- As with the Annual Report, due to the information that is received under this address and as per state's requirements, Bizee can only change the Registered Agent information by filing a Change of Agent.

If I place an order for a Change of Agent, will that automatically cancel the service with Bizee?
- No, in order for you to cancel your Registered Agent Service, you need to let our customer service team know. They will be able to assist you with any applicable cancelation you require. See their contact information here. Once the order for a Change of Agent is completed, you will be able to see the new Agent's information under your Dashboard.

What is the difference between the "New Registered Agent Service" and "Change of Agent" options in my Dashboard?
- If you are looking to change your company's current registered agent and you are looking to make us your new registered agent, you'll be able to request this service by selecting "New Registered Agent Service".
- If you currently have our Registered Agent services, and you are looking to change to another registered agent, you'll need to select the option "Change registered agent".
- Whichever option you are looking at, make sure that you select "yes" when we ask you if you would like us to facilitate the transfer of Registered Agent service from your current provider to us. This will ensure the state's records are updated with the new agent's information. Otherwise, the change will go unnoticed.

If you're looking to purchase the service as a stand-alone service, we wouldn't be able to provide you with the first year cost-free, we would charge you the service fee of $119.

- The Registered Agent is an automatic yearly renewal. An email will be sent to notify you before the auto-renewal occurs. You can also find your renewal date under the Registered Agent tab in your dashboard.

If I convert from LLC to C-Corp, will Bizee still be my registered agent?
- If Bizee was your registered agent before the conversion, then Bizee will still be your registered agent. Please send the conversion documents to support@incfile.com so that we may review them, and inform the registered agent of the change.
